1. Introduction

Welcome to ZATCA Sync (“Service” or “Application”). This Service is owned and operated by Purity Development Trading (“we,” “us,” or “our”). ZATCA Sync facilitates the retrieval of invoice data from QuickBooks, the generation of XML files, and the submission of these files to the Saudi tax authority, the Zakat, Tax and Customs Authority (“ZATCA”), as required by law.

By accessing or using ZATCA Sync, you (“User,” “you,” or “your”) agree to be bound by these Terms of Service. If you do not agree with any part of these Terms, you must not use our Service.

2. Eligibility

You must be a business or individual legally capable of entering into binding contracts under the laws of Saudi Arabia.
You represent and warrant that you are in compliance with all local laws and regulations, including those related to taxation and data reporting.
If you do not meet these requirements or violate these Terms, we reserve the right to suspend or terminate your access to the Service.

3. Services Provided

Integration with QuickBooks to access invoice data.
Generation of XML files containing invoice details in a format acceptable to ZATCA.
Transmission of invoices to ZATCA for clearance, as required by Saudi Arabian tax law.
Storage of business information, authentication tokens, and cleared invoices to facilitate ongoing compliance.

4. User Responsibilities

Accurate Information: You agree to provide and maintain accurate business information, including your company name, tax number, and contact details.
Valid Tokens: You must maintain valid QuickBooks tokens and other necessary authentication credentials for uninterrupted service.
Compliance: You are responsible for ensuring your own compliance with all applicable tax laws and regulations. This includes proper reporting of invoice data and timely submission of required tax forms.
Technical Requirements: You are responsible for maintaining any hardware, software, and internet access needed to use the Service.

5. Third-Party Services

QuickBooks: We rely on QuickBooks to retrieve your invoice data. Your use of QuickBooks is governed by their terms and conditions, which you must review and accept separately.
Hosting Providers: We use reputable hosting providers to store and process your data securely.
Other Services: We may integrate with or rely on additional third-party tools to operate and improve our Service.
No Control Over Third Parties: We do not control third-party services and cannot guarantee their performance, availability, or security.

6. Data Security

Security Measures: We use reasonable administrative, technical, and physical safeguards to protect your data against unauthorized access, theft, or misuse.
No Absolute Guarantee: While we strive to protect your data, no method of transmission or storage is completely secure. We do not guarantee absolute security and disclaim any liability for breaches beyond our reasonable control.

7. Limitation of Liability

Tax Compliance: We provide tools to assist in generating and submitting invoices to ZATCA; however, the final responsibility for tax compliance rests with you. We are not liable for any penalties, losses, or damages arising from incorrect data or delays in submissions.
Service Disruptions: We are not liable for damages resulting from interruptions, delays, or errors in the Service caused by factors beyond our control (e.g., internet outages, third-party service downtime).
Indirect Damages: Under no circumstances will Purity Development Trading be liable for indirect, consequential, or special damages related to your use or inability to use the Service.

8. Termination of Service

By Us: We reserve the right to suspend or terminate your access to ZATCA Sync if you violate these Terms, use the Service for unlawful purposes, or fail to comply with local regulations.
By You: You may stop using the Service at any time. Should you wish to deactivate your account, please contact us at the information provided below.
Effect of Termination: Upon termination, your access to the Service will cease, and we may delete or deactivate your account data in accordance with our Privacy Policy and applicable laws.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from or related to these Terms shall be resolved under the exclusive jurisdiction of the competent courts in the Kingdom of Saudi Arabia.

10. Changes to these Terms

We may update these Terms from time to time to reflect changes in our services or legal requirements. We will post the revised Terms on our website or application and indicate the “Last Updated” date. By continuing to use the Service after any changes become effective, you agree to be bound by the revised Terms.
